Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (and the organization you represent, “you”, “your”, “Customer”) and Senithu Software Solutions (“we”, “us”, “our”), a company organized under the laws of Sri Lanka and the operator of the SunoVoice AI platform (the “Service”). They govern your access to and use of the Service. By creating an account or using the Service, you accept these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.
1. The Service; our role
SunoVoice AI provides software and communications-enablement tools that let you configure and operate an AI voice agent to answer and place calls, book appointments, answer questions, and transfer calls to a human. Features, plans, and limits may change over time.
2. Eligibility, accounts & identity verification
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account, and must notify us promptly of any unauthorized use.
Because the Service provisions regulated telecommunications resources, we may require you to verify your identity, business, and control of a phone number, and may carry out additional fraud and eligibility checks, before or at any time after you use the Service. We may, in our sole discretion, refuse, limit, suspend, or terminate access if verification fails, if information appears inaccurate or fraudulent, or if we reasonably suspect misuse. You agree not to impersonate any person or entity or misrepresent your identity or affiliation.
3. You are the responsible party
You are solely responsible for: (a) all use of the Service under your account; (b) the content of your prompts, knowledge base, scripts, and everything your agent says or does; (c) the numbers your agent dials and the recipients it contacts; and (d) ensuring your use complies with all applicable laws, regulations, and third-party rights. You are the “caller”, “sender”, and “user of record” for all communications you originate through the Service.
4. Acceptable use & prohibited conduct
You agree that you will not, and will not permit your agent, employees, or end users to, use the Service to:
- engage in or facilitate any fraud, scam, phishing, vishing, social engineering, identity theft, or deceptive practice, or any attempt to obtain money, credentials, or sensitive information by false pretenses;
- impersonate any person, business, or government body, spoof or falsify caller identification or origin information, or misrepresent the purpose of a call;
- make unlawful telemarketing, robocall, or bulk calls; contact numbers on any do-not-call or suppression list where prohibited; or place calls without all consents required in the relevant jurisdiction;
- transmit content that is illegal, harassing, threatening, defamatory, hateful, sexually exploitative, or that infringes intellectual-property or privacy rights;
- distribute malware, conduct unauthorized data collection, or violate any anti-money-laundering, sanctions, export-control, or consumer-protection law;
- use the Service for emergency services or any situation where failure could lead to death, personal injury, or property or environmental damage;
- attempt to disrupt, reverse-engineer, scrape, overload, circumvent limits of, or gain unauthorized access to the Service or its infrastructure; or
- take any action that could jeopardize the regulatory standing, reputation, or carrier relationships of SunoVoice AI or expose us or any individual to legal liability.
5. Telecommunications & caller responsibilities
You are responsible for compliance with all laws and regulations applicable to the communications you originate, including those governing call origination, caller identification, consent to contact, recording, time-of-day restrictions, and opt-out handling. You will not misuse phone numbers, will accurately identify yourself on calls where required, and will not take any action that harms the regulatory standing of our carriers or the Service.
6. Call recording & consent
The Service can record and transcribe calls. You are solely responsible for providing all notices and obtaining all consents required by law before recording or processing any call, in every jurisdiction in which you or your call recipients are located, and for configuring your agent accordingly. You will comply with all applicable laws regarding the recording, storage, and processing of communications.
7. Monitoring, suspension & cooperation with authorities
We are not obligated to monitor the Service, but we may do so. Where we reasonably suspect fraud, abuse, a violation of these Terms, or unlawful activity, or where required to protect the Service, our carriers, our users, or any person, we may, with or without prior notice and to the extent permitted by law:
- investigate, throttle, restrict, suspend, or terminate your account or specific use;
- preserve and review relevant account, call, and content records; and
- disclose your identity, verification, and usage information to carriers, regulators, courts, and law-enforcement authorities, and otherwise cooperate with lawful investigations.
You consent to these measures. We are not liable to you for any action taken in good faith to investigate or prevent suspected misuse.
8. Subscriptions, billing & cancellation
- Paid plans are billed in advance on a recurring monthly basis through our payment processor, PayPal. By subscribing you authorize these recurring charges until you cancel.
- Plan changes take effect as described at checkout — upgrades may be prorated and applied immediately; downgrades typically take effect at the next billing cycle.
- You can cancel at any time from your dashboard. Cancellation stops future renewals; your plan remains active until the end of the current paid period.
- Except where required by law, all payments are non-refundable and usage-based allowances do not roll over between periods.
- If a renewal payment fails or a subscription lapses, we may suspend paid features until the account is brought current. Fees may change on notice.
9. Your content & data
You retain all rights to the content and data you provide (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, and transmit Customer Data solely as needed to provide and improve the Service and as described in our Privacy Policy. You represent and warrant that you have all rights, permissions, and consents necessary for us to process Customer Data and to place the communications you originate, and that doing so will not violate any law or third-party right.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated responses may be inaccurate, incomplete, or unsuitable and must not be relied upon as professional advice. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any call will connect or complete.
11. Indemnification
This obligation survives termination and applies regardless of whether the claim is brought against the company or against any individual whose identity underpins the Service.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR THE ACTS, OMISSIONS, OR CONTENT OF YOU, YOUR AGENT, OR YOUR CALL RECIPIENTS.
13. Suspension & termination
We may suspend or terminate your access immediately and without liability if you breach these Terms, create risk or legal exposure for us or any person, engage in or are suspected of fraud or abuse, or fail to pay amounts due. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 3, 4, 7, and 9–12) will survive.
14. Third-party services & integrations
The Service integrates with third-party services you choose to connect (such as Google or Microsoft calendars and webhooks). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their availability, security, or actions.
15. Intellectual property
The Service, including its software, design, and trademarks, is owned by Senithu Software Solutions and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service; no other rights are granted.
16. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, outages, carrier or vendor failures, network attacks, or governmental action.
17. Governing law & dispute resolution
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict-of-laws rules. You agree that the courts located in Sri Lanka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you submit to their jurisdiction, except where applicable law gives you a non-waivable right to bring proceedings elsewhere.
18. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. We may update these Terms from time to time and will revise the “Last updated” date above; your continued use after changes take effect constitutes acceptance.
